Terms of Use Agreement

This Agreement relates to your use of relativemotion.app and regulates your engagement with the Services offered on the website and applications. It covers various aspects, including web pages, content, newsletters, databases, and other information within the Services. Any additional terms and conditions for other websites and applications will be explicitly stated.

If your monthly or annual charges cannot be processed, the recurring membership payment agreement will be terminated. As a result, access to the application data will cease. To resume access, you will need to sign up for a new membership and pay the corresponding fee.

Restrictions

You are prohibited from reselling or attempting to resell any aspect of the Service, whether for profit or otherwise. Sharing your Internet Protocol address ("IP address") or Service connection with others, or authorizing any individual or entity to use the Service via your Account or through your Promotional Access, is not allowed. The Service may not be accessed simultaneously through multiple devices; only one compatible laptop, personal digital assistant, smartphone, or other handheld device may be used at a time via your Account or Promotional Access to operate the Service. You acknowledge that sharing the Service with another person or providing access to the Service through your Account or Promotional Access, or any subscription product purchased by you, violates the Agreement and may be considered fraud or theft, for which we reserve all rights and remedies. You do not have proprietary or ownership rights to specific data provided by Relative Motion, IP addresses, or other addresses, log-in names, or passwords used in connection with the Service. If you accept the Service on behalf of your employer or another entity, you affirm that you have full legal authority to bind them to this Agreement, and your acceptance binds that party to this Agreement.

BY CONTINUING TO USE THE SERVICES, YOU ARE EXPRESSING YOUR AGREEMENT TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DISAGREE WITH THESE TERMS OF USE, RELATIVE MOTION IS UNWILLING TO PROVIDE YOU WITH ACCESS TO THE SERVICES, AND YOU SHOULD PROMPTLY CANCEL YOUR SUBSCRIPTION AND CEASE YOUR USE OF THE SERVICES.

The provided data is solely for informational purposes and is NOT intended for transactional or trading purposes. Relative Motion, along with any third-party licensors or suppliers, shall not be held liable for any errors or delays in content, nor for any actions taken in reliance on it. We do not assume responsibility for delays, delivery failures, or other damages arising from or inherent in the use of the internet and electronic communications. We reserve the right to temporarily suspend services due to any security issues that may arise.

Modifications to the Agreement: We reserve the right to modify this Agreement at our discretion and without prior notice to you. It is advisable to periodically review this Agreement to stay acquainted with its current terms and conditions. Your continued use of the Services after any modifications to this Agreement indicates your acceptance of such changes.

In case of any conflict with this Agreement, the additional terms, conditions, and restrictions will take precedence.

Informational Purpose of Services

Dissemination of Information: Our Services are solely intended for the dissemination of general information related to companies we have information on. They are provided for informational purposes only and do not constitute an offer to sell or a solicitation of an offer to buy any referenced security on this application. This application does not serve as an offering or recommendation by Relative Motion, or its employees, of any security, investment management service, or advisory service. Relative Motion and/or its employees do not offer investment advice, tax advice, legal advice, or financial planning advice through this application. By using this application, you agree not to use it for such purposes.

Relative Motion does not assert that the securities, products, or services discussed on or accessible through this application are suitable for any specific investor. You acknowledge that your requests for information through this application are unsolicited, and accessing any information through this application does not constitute or be considered investment advice or an offer to sell or a solicitation of an offer to buy any security. Therefore, our Services should not be interpreted as Relative Motion providing personalized investment advice for compensation over the Internet. Relative Motion is not responsible for any financial loss resulting from the use of our product.

Available Tools: If any subscriber or user utilizes any economic/forecasting calculator or similar charting device provided by our Services or by any unaffiliated third party linked to our Services, it is advised that the information derived from the use of such calculator/device is not, and should not be construed as, a substitute for personalized individual advice from Relative Motion or any other investment professional.

Ownership; General Limitations on Use

Ownership: You acknowledge and agree that the text, information, data, graphics, images, audio, video, design, organization, compilation, metadata, look and feel, advertising, and all other protectable intellectual property (the "Content") available through the Services is our property, the property of our advertisers, or our third-party licensors or suppliers (such licensors and suppliers are referred to as "Information Providers") and is protected by copyright and other intellectual property laws.

Limitations on Use: Unless you have our written consent in advance, you may not reproduce, sell, publish, distribute, retransmit, disseminate, perform, display, broadcast, create new works from, or commercially exploit the Content available through the Services, with the following one exception:

1. To the extent that we feature email or other sharing functionality on a particular article in the Services, you may use email or other featured sharing functionality to share such article with other individuals.

You agree to access the Services manually by request and not programmatically by macro or other automated means.

Subscription Cancellation: As a subscriber, to cancel your subscription, open the application and navigate to your “Settings”, click on “Subscriptions” and select “Cancel Subscription.” Please note that there are no refunds for any payments, and you will retain access to your account through your paid-through date. The cancellation of your subscription and/or termination of this Agreement, regardless of the cause, will not affect the provisions of this Agreement that, by their nature, are not meant to be executory and survive the Agreement.

These Terms of Use (the "Agreement") govern your use of relativemotion.app, and unless other terms and conditions expressly govern other websites or applications that are made available from time to time, including without limitation, any web pages, services, content, newsletters, databases, and information therein (collectively, the "Services").

No Modification of Content: You agree not to rearrange or modify the Content. You agree not to create abstracts from, scrape or display headlines from the Content for use on another website or service or use the Content for commercial purposes, including any automated or algorithmic trading programs. You agree not to upload, post, or submit any Content from the Services to weblogs, newsgroups, mail lists or electronic bulletin boards, except through services we specifically provide for that purpose (e.g., an RSS Feed) or after we give our written consent in advance.

Member Accounts; Privacy: To access certain Services and functionalities, registration as a member (a “Member”) is required. When registering, you agree to provide accurate and truthful information about yourself. Any information you provide during registration or that we collect about you is subject to our Privacy Policy. In cases of automated registration, you will either be provided or required to select a unique username and password. We reserve the right to refuse usernames that may impersonate someone else or are deemed inappropriate. The responsibility lies with you to choose your password wisely.

We disclaim responsibility for any user impersonating you on our Services. If you suspect unauthorized use of your password or have concerns, please contact Relative Motion Support at . We retain the right to disclose information about our Members or users, including registration data, to comply with applicable laws and/or legal requests, operate our systems properly, protect our property or rights, and safeguard the interests of our users and other Members.

Member Content, User Generated Content, Blog Entries.

Member Content: We provide Members and users the opportunity to tag, rate, vote, offer predictions, and engage in discussions on articles, companies, and various topics. Any content, information, graphics, audio, images, and links submitted as part of creating profiles or engaging in activities related to Member Content are subject to the terms and conditions outlined below.

Cautions Regarding Other Members and Member Content: Member Content includes diverse information, views, opinions, and recommendations from various individuals and organizations, aimed at helping users make informed decisions. Users are responsible for their own decisions, and we do not endorse or routinely review Member Content. While we do not perform background checks on Members, we reserve the right to monitor or remove any content without notice. Users should approach Member Content with skepticism, as it may be misleading, deceptive, or in error.

Grant of Rights and Representations by You: By uploading, posting, or submitting any Member Content, you represent that you have the necessary legal rights and it won't violate any law or rights. You grant us a non-exclusive, transferable, worldwide, fully paid-up, royalty-free, perpetual, irrevocable right and license to use, distribute, publicly perform, display, reproduce, and create derivative works from your Member Content without any duty to compensate you. We also have the right to authorize Members and users to use your content in accordance with this Agreement.

Removal: We may remove any Member Content for any reason without notice, including materials related to user use or membership.

Rules of Conduct: Members and users must comply with the following rules:

Do not stalk or harass others.
Do not interfere with others' use of the Services.
Do not attempt to harvest screen names or email addresses for commercial use.
Do not use the Services for illegal purposes or post offensive content.
Do not impersonate others or adopt false identities.
Do not upload malicious software or engage in spam.
Demonstrate respect for other Members and avoid personal attacks.
Do not violate any applicable laws or securities regulations.
Do not upload content without the right to do so or that infringes on others' rights.

Copyright and Intellectual Property Policy: We respond to notices of alleged infringement in compliance with the Digital Millennium Copyright Act.

Termination: Relative Motion reserves the right to discontinue or modify all or any of the Services, or their availability to you, immediately, at its sole discretion, without cause and at any time. Relative Motion may terminate this Agreement and your access to and any use of the Services, or any portion thereof, immediately, at its sole discretion, without cause. Relative Motion and its information providers specifically disclaim any representations or warranties, whether express or implied, including, without limitation, any representations or warranties of merchantability or fitness for a particular purpose.

We do not provide tax or investment advice or endorse the purchase or sale of any security or investment. It is advisable to seek the assistance of a professional for tax and investment advice. Certain information and data provided in connection with these Services may be delayed as specified by financial exchanges or Information Providers. Relative Motion and the Information Providers provide information without responsibility for accuracy, and you agree that errors or omissions in such information shall not be the basis for any claim, demand, or cause of action against Relative Motion or any Information Provider.

We may link to or promote websites or services from other companies or offer you the ability to download software from other companies. You agree that we are not responsible for, and do not control, those websites, services, and software. The Services include facts, views, opinions, and recommendations of individuals and organizations deemed of interest. Neither Relative Motion, nor the Information Providers guarantee the accuracy, completeness, or timeliness of, or otherwise endorse these facts, views, opinions, or recommendations, provide investment advice, or advocate the purchase or sale of any security or investment.

Limitation of Liability: Relative Motion and any Information Provider, as well as their respective subsidiaries, affiliates, shareholders, directors, officers, employees, and licensors (the “Excluded Parties”), will not be jointly or severally liable to you or any other person for indirect, consequential, special, incidental, punitive, or exemplary damages. This includes, without limitation, lost profits, lost savings, and lost revenues, whether characterized in negligence, tort, contract, or any other theory of liability. Even if any of the Excluded Parties have been advised of the possibility of or could have foreseen any of the excluded damages, and irrespective of any failure of an essential purpose of a limited remedy. If any applicable authority holds any portion of this section to be unenforceable, then the Excluded Parties’ liability will be limited to the fullest extent permitted by applicable law. You understand and agree that your use of the Services is at your sole risk.

Indemnity: You agree to indemnify and hold Relative Motion and our respective subsidiaries, affiliates, officers, agents, employees, partners, and the Information Providers harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of Member Content you upload, post, submit, or otherwise make available through the Services, your use of the Services, and your violation of this Agreement.

General: With the exception of the details outlined in the aforementioned section, this Agreement constitutes the definitive and comprehensive understanding between us concerning your utilization of the Services, surpassing any prior oral or written agreements, whether contemporaneous or antecedent, related to your use of the Services. The parties are independent contractors, and this Agreement does not create an agency, partnership, or joint venture. Our failure to enforce any provisions of this Agreement will not constitute a waiver of that or any other provision. This Agreement is personal to you, meaning that you may not assign your rights or obligations under this Agreement to anyone. No third party is a beneficiary of this Agreement. You agree that this Agreement and any claims arising from it will be governed by and construed in accordance with the laws of the State of New Mexico, United States of America, applicable to contracts made entirely within New Mexico and wholly performed in Albuquerque, without regard to any conflict or choice of law principles. The sole jurisdiction and venue for any litigation arising out of this Agreement will be an appropriate federal or state court located in Albuquerque, New Mexico. This Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods.

Member Content, User Generated Content, Blog Entries.

Terms of Use for Certain Content

Information Provider: If content or information displayed on the Services includes data distributed by third-party vendors, you agree not to download or copy data points for any purpose other than executing the Relative Motion Software.

Data, Databases, and Information: Without limiting the foregoing, concerning the database and information associated with the Services, if any, you agree to the following:

You agree and acknowledge that the information on the Relative Motion site and the information contained therein is and shall remain valuable intellectual property owned by, or licensed to various third-party licensors or suppliers, for the Relative Motion database and information.

No proprietary rights are being transferred to you in such materials or in any of the information contained therein.

Any use outside of using our web-based software requires a license from these third-party licensors or suppliers, along with an associated fee based on usage.

You agree that misappropriation or misuse of such materials will cause serious damage to third-party licensors or suppliers, and in such an event, money damages may not constitute sufficient compensation to them. Consequently, you agree that in the event of any misappropriation or misuse, we shall have the right to obtain injunctive relief in addition to any other legal or financial remedies to which we may be entitled.

You agree not to publish or distribute in any medium data or any information contained therein or summaries or subsets thereof to any person or entity except in connection with using our web-based software.

You further agree that the use of the Relative Motion and descriptions is not intended to create or maintain, and does not serve the purpose of creating or maintaining, a master file or database of data descriptions or numbers for itself or any third-party recipient of such service. It is not intended to create and does not serve in any way as a substitute for the DVD, PRINT, Database, INTERNET, ELECTRONIC Services and/or any other future services developed by third-party licensors or suppliers.

Survive Termination: You agree that all terms and conditions mentioned above shall survive any termination of your right of access to the Services, Content, and the materials identified above.
